Introduction and Acceptance

Welcome to the Psychedelic Puppet Show!

Psychedelic Puppet Show (“PPS”) is a not-for-profit corporation incorporated under the Canada Not-For-Profit Corporations Act.

By accessing our website, you (“you”, “your” or “User(s)”), agree to be bound by these terms of service (“Terms”). The Terms govern your access to and use of our website at psychedelicpuppet.show (“Website”), and any content, functionality, or services offered on or through our Website. The Terms also apply to you if you buy or acquire an NFT created by PPS (“PPS NFT”) and become an “NFT Holder”.

Users and NFT Holders acknowledge they have read, understand, and agree to be bound by these Terms.

By using our Website or becoming an NFT Holder, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Website or acquire a PPS NFT.

PPS NFTs

By acquiring a PPS NFT in any manner, the NFT Holder accepts and agrees to these Terms and the terms of the NFT License, including any limitations on use and the scope of rights conveyed. The NFT License is hereby incorporated into these Terms by reference and forms an integral part of this agreement.

Not Investments

Users and NFT Holders understand and agree that PPS NFTs are collectible digital artwork only and are not investment products, securities, or financial instruments. You should not spend more than you can afford to lose. Users and NFT Holders acknowledge that the market for NFTs is high-risk, speculative, and volatile. There is no guarantee of future value or returns. The price of PPS NFTs on third party marketplaces is determined by the market and may fluctuate.

PPS makes no representations or warranties regarding the value of PPS NFTs and is not liable for any decreases in the value of PPS NFTs or losses resulting from purchasing, selling, or trading PPS NFTs.

Buying, Selling, Trading

PPS NFTs cannot be acquired via the Website but may be acquired on third party NFT marketplaces or other services (“NFT Markets”) or directly from other NFT Holders.

Your use of NFT Markets is subject to the terms of those NFT Markets. Transactions involving a PPS NFT on NFT Markets or other NFT Holders are agreements between a NFT Holder and the party on the other side of the transaction (“Buyer”). By acquiring a PPS NFT, the Buyer represents they have read and agree to these Terms and the NFT License.

You understand and agree that PPS will not be responsible for fees assessed by the NFT Market or incurred through your choice of payment mechanism, including, but not limited to, fees charged by those NFT Markets, cryptocurrency exchange fees, gas fees, failed transactions, or other fees associated with transacting on those NFT Markets.

PPS shall not be responsible in any manner for transactions with third parties on NFT Markets. However, for purchases from PPS on NFT Markets, you retain all your statutory rights under British Columbia law.

Resale Royalty

NFT Holders acknowledge and agree that PPS NFTs are subject to a resale royalty of 10% of the total value paid for the PPS NFT by the Buyer (“Royalty”). For transactions on NFT Markets, the Royalty may be automatically charged by the NFT Markets and transferred to PPS. For transactions directly between users or via NFT Markets that do not apply the Royalty, the NFT Holder agrees to transfer to pay the Royalty to PPS within 7 days of the transaction, by transferring the Royalty to PPS in one of the following currencies to the associated address:

Taxes

You are responsible for determining and paying any applicable taxes on transactions related to PPS NFTs, including, but not limited to, sales taxes, value added taxes, capital gains tax, or other taxes that may apply in your jurisdiction. PPS recommends consulting with a qualified tax professional regarding your specific tax obligations.

Intellectual Property

Ownership of a PPS NFT does not grant any rights, title, or interest in the intellectual property associated with the PPS NFT, including, but not limited to, copyright, trademark, design rights, and all other intellectual property rights (“PPS IP”). Users and NFT Holders acknowledge that acquiring a PPS NFT conveys only limited rights of use as detailed in the NFT License, and does not transfer any other rights, title, or interest.

Limited Warranties

PPS NFTs are provided “as is,” and any warranties are limited to the minimum required by applicable law, including the British Columbia Business Practices and Consumer Protection Act. PPS makes no warranty that PPS NFTs will be available on an uninterrupted, secure, or error-free basis. PPS makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any information or content on the PPS NFTs.

Limitation of Liability

PPS will not be responsible or liable to you for any loss and takes no responsibility for, and will not be liable to you for, any use of your PPS NFT, including, but not limited to, any losses, damages, or claims arising from:

i. user error such as forgotten passwords, incorrectly constructed transactions, or mistyped wallet addresses;

ii. blockchain network or technical errors, including without limitation delayed or lost transactions, technical issues, node failures, forks, or other technical issues;

iii. server failure or data loss;

iv. corrupted cryptocurrency wallet files;

v. unauthorized access to PPS NFTs; or

vi. unauthorized third-party activities, including without limitation the use of viruses, phishing, brute forcing, or other means of attack against you, NFT Markets, or the blockchain network underlying the PPS NFTs.

PPS Merch

This section applies to the purchase of PPS merchandise (“Merch”) through the PPS store on the Website (“Merch Store”). Our Merch Store is offered by third party partners, as described below. By using the Merch Store you agree to those partners’ terms in addition to these Terms.

Payment

Payment on our Merch Store is handled by Stripe and is subject to Stripe’s terms and policies. It is the responsibility of the User to review and understand Stripe’s terms and conditions prior to making a purchase. PPS remains responsible for resolving order-related issues and ensuring consumer protection rights under applicable laws.

Shipping and Returns

Merch is provided and shipped by Printful, subject to Printful’s terms and policies. It is the responsibility of the User to review and understand Printful’s terms and conditions prior to making a purchase.

For purchases of Merch available in different sizes, PPS encourages the user to review Printful’s sizing chart and measure themselves or the intended user of the Merch to ensure a proper fit.

Returns or exchanges of Merch are subject to Printful’s terms and your statutory rights under British Columbia law. You have the right to return items that are damaged, defective, or not as described within 30 days of receipt. These rights are in addition to any other statutory rights you may have. In such cases, you may contact Printful directly through their support channels or ask PPS for assistance.

Donations

PPS is a registered not-for-profit corporation and gratefully accepts donations. However, PPS is not a charity and is unable to issue tax receipts for your donations.

Donations made through our Website are handled by Stripe and are subject to Stripe’s terms and policies. It is the responsibility of the User to review and understand Stripe’s terms prior to making a donation. PPS is not responsible for any issues arising from the use of Stripe's services, including but not limited to transaction errors, processing delays, or additional charges.

Intellectual Property

Users and NFT Holders understand and agree that PPS or its artists are the exclusive owner of all intellectual property rights related to the Website and PPS NFTs, including, but not limited to, copyright, trademark, design rights, and all other intellectual property rights, on the Website and in the PPS NFTs, except where explicitly granted to NFT Holders through the NFT License.

Email Newsletter

Users may sign up for regular email newsletters from PPS (“Email Newsletter”) by providing their email address. By subscribing, Users expressly consent to receive commercial electronic messages from PPS (including news about PPS, PPS NFT drops, and Merch) in accordance with Canada's Anti-Spam Legislation (CASL) and acknowledge they can withdraw this consent at any time.

Users can unsubscribe from the Email Newsletter at any time by clicking the “unsubscribe” link located at the bottom of any email communication from PPS or by contacting us directly at: community@psychedelicpuppet.show

Upon unsubscribing, Users will not longer receive future editions of the Email Newsletter. We will process your unsubscribe request within 10 business days, in accordance with applicable law.

You must be at least 18 years of age to receive the Email Newsletter. By subscribing to the Email Newsletter, Users confirm they are at least 18 years old, acknowledge and agree that they have read and understood this clause, and consent to receive the electronic communications described in this section.

Limitation of Liability

PPS does not guarantee the accuracy, completeness, or usefulness of any information on the PPS website and is not responsible for any reliance placed on such content, except as required by law. Users and NFT Holders agree that their use of the PPS website is at their sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THIS DISCLAIMER DOES NOT LIMIT YOUR STATUTORY RIGHTS UNDER APPLICABLE CONSUMER PROTECTION LAW.

Indemnification

Users and NFT Holders (collectively, the “Indemnifying Parties”) agree to indemnify, defend, and hold harmless PPS, its affiliates, and their respective directors, officers, employees, and agents (collectively, the “Indemnified Parties”) from and against any and all losses, damages, liabilities, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, that are incurred by the Indemnified Parties, arising out of or resulting from any claim, suit, action, or proceeding (collectively, “Claims”) brought by any third party against the Indemnified Parties that relate to or arise out of any of the following: (a) the purchase, ownership, or use of a PPS NFT by the Indemnifying Parties; (b) any breach of these Terms or the NFT License by the Indemnifying Parties; (c) any violation by the Indemnifying Parties of any law or the rights of a third party in connection with the purchase, ownership, or use of a PPS NFT. PPS reserves the right to assume control of any defense for actions brought against the Indemnified Parties.

This indemnification obligation shall survive the termination of these Terms and the ownership or use of a PPS NFT by the Indemnifying Parties.

Disputes

This Agreement shall be governed by and construed in accordance with the laws of British Columbia, Canada, and the applicable federal laws of Canada, without regard to conflicts of law.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be heard in the courts of British Columbia, Canada.

PPS may also seek injunctive relief in any jurisdiction in any court of competent jurisdiction.

Assignment

Users’ rights under these Terms may not be assigned by the User without the prior written consent of PPS.

NFT Holders may assign their rights under these Terms by transferring ownership of their PPS NFT to the assignee.

PPS may assign its rights and obligations under the Terms, in whole or in part, at any time without notice.

The rights and obligations of the parties under the Terms shall be binding on and inure to the benefit of the parties and their respective successors and permitted assigns.

Miscellaneous

The headings in these Terms are for convenience only and shall not affect the interpretation of the Terms.

These Terms, together with the NFT License and Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral, between the parties.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

PPS reserves the right to modify these Terms in accordance with applicable law by posting updated Terms on the Website. Any modifications that substantially change your rights or obligations may require your explicit consent. We will notify Users of material changes through the Website at least 30 days before the changes take effect, or via email if they have subscribed to the Email Newsletter. Your continued use of the Website after such changes constitutes acceptance of the modified Terms.
